General Provisions and Definitions

1. The purpose of these General Terms and Conditions (hereinafter referred to as the “GTC”) is to define the general terms and conditions governing the sale of products by the Seller to the Buyer through the website magiskperle.com (hereinafter referred to as the “Website”). The GTC in itself does not establish a contractual relationship between the Seller and the Buyer.

2. Products available for purchase under these GTC are offered on the Website, including items listed in the “Shop” section as well as customizable products created through the bracelet configurator “Bracelet Crafter”. Prices displayed on the Website include value added tax (VAT/MOMS), however the displayed price does not include shipping costs. The exact shipping fee payable by the Buyer will be shown during the ordering process.
Apart from the purchase price of the Product and the applicable shipping fee, the Seller does not charge any additional fees to the Buyer. However, in the event of withdrawal from the contract, the Buyer must bear the cost of returning the Product to the Seller.

3. The contractual relationship between the parties is established in accordance with the provisions of these GTC. In addition to the terms set forth in these GTC and the order placed by the Buyer, the contractual relationship shall be governed by the applicable laws of the European Union and Denmark, including in particular the relevant consumer protection, electronic commerce, and civil law regulations.

4. Any time references mentioned in these GTC shall be interpreted according to Central European Time (CET). References to working days, public holidays, and non-working days shall refer to the official working days and public holidays applicable in Denmark.

Basic Definitions

Buyer: A Consumer or Business entity who is at least 13 years of age and purchases a product through the Website in accordance with these GTC. Unless otherwise specified, the provisions applicable to Consumers shall also apply to Business entities.

Seller: The operator of the website magiskperle.com and the seller of the Products offered on the Website.

Consumer: A natural person acting outside the scope of their profession, independent occupation, or business activity.

Business: A person or entity acting within the scope of their profession, independent occupation, or business activity.

Order: A declaration made by the Buyer to purchase the selected Product(s), through which a contractual relationship between the Seller and the Buyer is established.

Product: Any item offered for purchase on the Website, including products listed in the “Shop” section as well as customizable bracelets created through the bracelet configurator “Bracelet Crafter”, including gemstone and wooden bracelets, gemstone and wooden beads, accessories, and other decorative items.

Third Party: Any natural or legal person or organization that is not one of the contracting parties.

These GTC apply to all purchases made through the Website.

Custom and Personalized Products

1. The Website may offer customizable products through the bracelet configurator “Bracelet Crafter“. Using this tool, the Buyer may create a personalized bracelet by selecting bead materials, sizes, colors, and other design elements.

2. The final price of the customized product depends on the components selected by the Buyer during the configuration process. The total price will be displayed before the order is finalized.

3. Products created through the bracelet configurator are considered personalized products made according to the Buyer’s specifications.

4. In accordance with applicable European Union consumer protection regulations, the right of withdrawal does not apply to products that are made to the consumer’s specifications or are clearly personalized.

5. By placing an order for a customized bracelet, the Buyer acknowledges that the product is created specifically for them and therefore may not be eligible for return or withdrawal once production has begun.

Product Information, Safety and Material Variations

1. Products sold on the Website may contain small parts such as beads. These components may present a choking hazard for young children. Products are not intended for children under the age of 3 and should be kept out of reach of small children.

2. Many products offered on the Website are made from natural materials such as gemstones or wood. Due to the natural characteristics of these materials, variations in color, pattern, texture, and appearance may occur. Such variations are not considered defects and are part of the unique character of natural and handmade products. Each product made from natural materials is unique.

3. Product images displayed on the Website are for illustrative purposes only. While the Seller aims to represent products as accurately as possible, slight differences between images and the final product may occur.

4. Product previews generated by customization tools on the Website, including the bracelet configurator (“Bracelet Crafter”), are for illustrative purposes only. Slight differences between the preview and the final product may occur due to materials, lighting conditions, or screen settings, which may affect the appearance of colors.

Ordering Process and Contract Formation

1. If the Buyer wishes to purchase a Product from the Seller, the Buyer may select a Product offered on the Website. By clicking the “Add to Cart” button, the selected Product is placed into the Buyer’s shopping cart. This may include Products listed in the “Shop” section as well as customized Products created through the bracelet configurator (“Bracelet Crafter”). The Buyer may add additional Products to the cart in the same way and may select multiple Products within a single Order as well as adjust the quantity of each Product.

2. The contents of the shopping cart may be freely modified by the Buyer until the Buyer clicks the “Checkout” or “Payment” button. This means that the Buyer may remove Products from the cart, add new Products, or change the quantity of the selected Products.

3. During the checkout process, the Buyer must provide the information necessary to complete the purchase, including their name, billing address, shipping address (if delivery is requested), telephone number, email address, and preferred payment method. After reviewing the entered information and correcting any potential input errors, the Buyer may place the Order by accepting these GTC and the Privacy Policy and clicking the “Place Order” button.

4. The contract between the Seller and the Buyer is established when the Buyer submits the Order by clicking the “Place Order” button and thereby sends the Order to the Seller.

5. By submitting the Order as described above, a fixed-term sales contract is established between the parties for the Products ordered by the Buyer.

6. The Seller will send an order confirmation to the email address provided by the Buyer, confirming the details of the Order. If the confirmation email is not received within 48 hours, the Buyer is released from the obligation related to the Order.

Orders are processed on working days between 09:00 and 16:00 Central European Time (CET). Orders received outside this time period shall be considered received at the beginning of the next processing period. If advance payment is required, the order will be processed after the payment has been received by the Seller.

The contract concluded through the Website does not qualify as a written contract, is not registered by the Seller, and will not be accessible in written form at a later time.

7. The contract shall not be considered valid even after submission of the Order if:

  • the Buyer purchased the Product at an obviously incorrect price due to a system error, or
  • fraudulent use of personal data, payment information, or other criminal activity occurred in connection with the purchase.

The Seller reserves the right to refuse or cancel an Order in justified cases.

The Seller reserves the right to refuse, limit, or cancel Orders in justified cases, including but not limited to suspected fraud, pricing errors, or Orders that appear to be placed by resellers, distributors, or automated purchasing systems.

A price shall be considered obviously incorrect if:

  • the price clearly contains an error (for example missing or additional digits), or
  • the displayed price demonstrably does not reach the acquisition cost of the Product.

8. The Buyer may download and/or print these GTC and related information available on the Website in a savable format.

Delivery and Performance of the Contract

1. The standard delivery time is up to 7 days from the conclusion of the contract if the product page indicates that the product is “In Stock”. If the Product requires custom production or preparation, the delivery time indicated on the product page shall apply.

2. The place of delivery is the delivery address provided by the Buyer during the Order process.

3. The Seller is obligated to deliver the purchased Product(s) to the Buyer within the delivery period specified above and to transfer ownership of the Product(s) to the Buyer in accordance with applicable laws, provided that the purchase price has been paid. The risk of damage or loss passes to the Buyer upon successful delivery of the Product(s).

Delivery by Carrier

4. If the Order requires delivery to the Buyer, the Seller is responsible for selecting the appropriate shipping method and carrier necessary to deliver the Product(s) to the specified address. The Buyer does not enter into a contractual relationship with the carrier.

5. Deliveries are typically carried out on working days between 08:00 and 17:00.

6. The Seller reserves the right to complete delivery at any time within the delivery period and may notify the Buyer in advance using the contact information provided during the Order process.

7. Shipping costs related to delivery are borne by the Buyer and will be clearly displayed during the ordering process.

General Delivery Provisions

8. The time of performance shall be considered the moment when the Product is successfully delivered and received by the Buyer.

9. Upon delivery, the Buyer is expected to inspect the Product(s) for quantity and quality. If the Buyer identifies a defect or missing component that does not justify refusal of delivery, the Buyer must accept the delivery and report the defect to the Seller without delay.

10. In the case of defective Products, the Buyer may request replacement of the Product. If the Product repeatedly arrives defective or becomes defective shortly after delivery, the Buyer may request a price reduction or withdraw from the contract, except in the case of minor defects.

11. If the Buyer determines during inspection that the Product is missing or significantly defective, the Buyer may refuse to accept the delivery. In such cases the Seller shall replace the defective Product or remedy the issue within a reasonable time after notification.

12. If the Seller delivers a Product different from the one ordered, the Buyer is entitled to request correction or replacement of the Product.

13. If the Buyer fails to accept delivery of the ordered Product without valid reason, including cases where the Buyer is repeatedly unavailable for delivery attempts, the Seller may resell the Product. If the Buyer has already paid for the Product, the Seller may refund the purchase price minus any transaction and shipping costs.

14. If the ordered Product is not available due to inventory discrepancies or stock shortages, the Seller reserves the right to cancel the Order. In such cases the Seller will inform the Buyer within a reasonable time and refund any payment received within 8 working days.

Payment and Invoicing

1. All payments on the Website are processed in Danish kroner (DKK). The Buyer may pay for the Product using the payment methods available on the Website, including credit or debit card payments through the Revolut payment gateway, Apple Pay, other electronic payment methods offered during checkout, or cash payment at the Seller’s physical address if personal collection is arranged. Cash payments are only possible for in-person collection.

2. All prices displayed on the Website include applicable value added tax (VAT/MOMS) unless stated otherwise. Shipping costs are calculated separately and will be displayed during the checkout process before the order is finalized.

3. The Seller shall issue an invoice for each completed purchase. The invoice will be provided electronically and sent to the email address supplied by the Buyer during the ordering process.

4. Delivery of the Product may take place only after the purchase price has been successfully paid, unless otherwise agreed. Ownership of the Product remains with the Seller until full payment has been received.

5. The Seller reserves the right to modify the prices displayed on the Website at any time. Such changes do not affect orders that have already been confirmed.

Warranty and Legal Guarantee

1. The Seller guarantees that the Products sold on the Website comply with the applicable laws and the terms agreed between the parties. The Products shall correspond to their description, possess the characteristics presented on the Website, and be suitable for their intended purpose and normal use.

2. The Seller guarantees that the Products are free from material, manufacturing, or design defects that would prevent normal use of the Product.

3. The Seller further guarantees that the Products are free from third-party rights that would prevent the Buyer from acquiring ownership of the Product.

4. In accordance with applicable European Union consumer protection laws, Consumers are entitled to a legal guarantee for defective products. If a Product proves to be defective, the Buyer may request repair, replacement, a price reduction, or withdrawal from the contract in accordance with applicable law.

5. Natural variations in materials such as gemstones, wood, color tones, patterns, or texture are not considered defects, as these characteristics are inherent to natural materials.

6. The Seller does not provide any additional voluntary commercial warranty beyond the legal rights granted to Consumers under applicable law.

Limitation of Liability

1. The Seller shall not be liable for damages resulting from improper use of the Products or use of the Products for purposes other than their intended use.

2. The Seller shall not be liable for damages resulting from normal wear and tear, accidental damage, misuse, or external influences occurring after delivery.

3. Product images and descriptions on the Website are for illustrative purposes only and may differ slightly from the actual Product.

4. The Seller shall not be responsible for temporary unavailability of the Website, technical errors, network failures, or interruptions caused by third-party service providers.

5. The Seller shall not be liable for damages resulting from incorrect or incomplete information provided by the Buyer during the ordering process.

6. The Website may contain links to external websites. The Seller is not responsible for the content or operation of such third-party websites.

7. Nothing in these GTC shall exclude liability that cannot be excluded under applicable European Union or Danish law.

Contract Duration, Termination and Right of Withdrawal

1. The contract between the Seller and the Buyer is established on the date when the Buyer submits the Order to the Seller in accordance with Section 4 of the “Ordering Process and Contract Formation”.

2. The contract shall terminate:

  • upon proper fulfillment of the contractual obligations by the parties,
  • by withdrawal of the Buyer in accordance with applicable law,
  • by extraordinary termination in the event of serious breach of contract.

3. In accordance with European Union consumer protection laws, the Consumer has the right to withdraw from the contract without giving any reason within 14 days from the date on which the Consumer receives the Product.

4. To exercise the right of withdrawal, the Buyer must notify the Seller of the decision to withdraw from the contract by sending a clear statement to the Seller via email at office@magiskperle.dk.

5. If the Buyer withdraws from the contract, the Buyer must return the Product to the Seller without undue delay and no later than 14 days from the date on which the withdrawal was communicated. The Buyer bears the direct cost of returning the Product. The Buyer is responsible for any diminished value of the Product resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the Product.

6. The right of withdrawal does not apply to:

  • Products made according to the Buyer’s specifications or clearly personalized Products, including items created using the “Bracelet Crafter” configurator;
  • perishable goods or goods with a short shelf life;
  • sealed goods which are not suitable for return due to health protection or hygiene reasons once unsealed after delivery;
  • goods which, after delivery, are inseparably mixed with other items.

7. Either party may terminate the contract with immediate effect in the event of a serious breach of contract by the other party.

8. Any modification of the contract shall only be valid if agreed upon by both parties in writing.

Force Majeure

The Seller shall not be liable for any failure or delay in the performance of its obligations under these GTC if such failure or delay is caused by circumstances beyond the Seller’s reasonable control.

Such circumstances may include, but are not limited to, natural disasters, war, government actions, strikes, technical failures, internet outages, supply chain disruptions, or interruptions of logistics or delivery services.

During the duration of such events, the Seller’s obligations may be suspended for the period necessary to resolve the circumstances preventing performance.

Special Provisions for Business Customers

1. If the Buyer places an Order on behalf of a business entity, the Buyer may be required to provide additional information necessary for invoicing and identification purposes, including the company name, registered address, VAT or tax identification number, contact details, and shipping address.

2. The Products may only be received on behalf of the business by a person authorized to represent the company or by a person authorized in writing by such representative.

3. The right of withdrawal described in the section “Contract Duration, Termination and Right of Withdrawal” applies only to Consumers. Business Buyers are not entitled to withdraw from the contract without cause under the 14-day withdrawal rule.

4. In the event of disputes between the Seller and a Business Buyer, the parties shall attempt to resolve the matter amicably. If no agreement can be reached, the dispute may be resolved by the competent courts in accordance with applicable law.

5. Personal data provided by Business Buyers shall be processed in accordance with the Seller’s Privacy Policy and applicable data protection laws.

Complaints and Dispute Resolution

1. The Buyer may submit complaints regarding the purchased Products or the Seller’s activities by contacting the Seller via email at office@magiskperle.dk or by using the contact details provided on the Website.

2. The Seller will investigate and respond to the complaint within a reasonable time and no later than 30 days after receiving the complaint.

3. If a dispute between the Seller and a Consumer cannot be resolved through direct negotiation, the Consumer may use the European Commission’s Online Dispute Resolution (ODR) platform.

4. The ODR platform allows Consumers and traders within the European Union to resolve disputes relating to online purchases without going to court.

5. The Buyer also retains the right to pursue legal remedies through the competent courts in accordance with applicable law.

Data Protection

For the purpose of concluding and fulfilling the contract and maintaining communication between the parties, the Seller processes the Buyer’s personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) (Regulation (EU) 2016/679).

Detailed information about the processing of personal data, the legal basis of processing, and the rights of the data subjects can be found in the Seller’s Privacy Policy available on the Website.

Communication and Information Obligations

1. Any communication or notification between the Seller and the Buyer related to the contract shall be made in written form, including by email.

2. Electronic communication shall be considered received when it becomes accessible to the recipient’s email system. The Buyer is responsible for ensuring that the email address provided during the order process is correct and accessible.

3. The parties shall inform each other without undue delay of any circumstances that may affect the proper performance of the contract or require urgent action. Any damages resulting from failure to provide such notification shall be borne by the party responsible for the omission.

Final Provisions

1. If any provision of these General Terms and Conditions (GTC) becomes invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the original intention of the parties.

2. The parties shall attempt to resolve any disputes arising from these GTC or from the contractual relationship primarily through amicable negotiations.

3. If the dispute cannot be resolved amicably, either party may initiate legal proceedings before the competent courts in accordance with applicable law.

4. The Seller reserves the right to modify these GTC at any time. Any modifications shall apply only to orders placed after the modified version has been published on the Website.

5. The parties agree to act in good faith and cooperate with each other in the performance of their contractual obligations.
